Terms and Conditions

Welcome to Adhron (“Adhron”, “Platform”, “we”, “us”, or “our”), a broker-to-broker logistics platform accessible via www.adhron.com. By accessing or using the Platform, you agree to be bound by these Terms and Conditions.

1. Nature of Services

Adhron is a technology platform facilitating interaction between independent logistics brokers.

• Adhron is not a carrier, transporter, or freight forwarder.
• Adhron does not take possession of goods.
• All contracts are strictly between users.

2. Transaction Confirmation and Fees

A transaction is deemed confirmed only when the shipper broker clicks “Accept Bid” on the Platform and successfully completes the associated load acceptance fee payment.

All load acceptance fees are final and non-refundable once a transaction is confirmed. Adhron charges for facilitating broker discovery and connection and is not responsible for the execution or outcome of transactions.

In cases of technical errors resulting in failed confirmation despite payment, Adhron may review and process refunds at its sole discretion.

If any amount is credited to a user due to technical error, the user agrees to promptly return such amount upon notification by Adhron. Failure to do so may result in account suspension and legal action.

3. User Eligibility and Accounts

Users must be legally capable of entering into contracts and must provide accurate and complete information. Adhron may request additional verification documents at its discretion.

You are responsible for all activity under your account and maintaining login confidentiality.

4. Verification Disclaimer

Verification, if provided, indicates only that documents have been submitted and reviewed. It does not constitute endorsement, guarantee, or certification of any user.

5. Platform Records as Evidence

All records generated by Adhron, including communication logs, bid details, timestamps, and transaction activity, shall be considered accurate and authoritative.

Users agree not to dispute the validity of such records solely because they are electronically generated.

6. User Conduct

• No fake or misleading listings
• No fraud or misrepresentation
• No illegal goods transportation
• No platform manipulation or abuse

Users acknowledge that accepting a bid represents a commercial commitment. Repeated cancellations, non-responsiveness, or failure to honor accepted bids may result in account restriction or suspension at Adhron’s discretion.

7. Off-Platform Dealings

Users agree not to bypass the Platform to avoid fees after interacting with another user through Adhron.

If Adhron reasonably determines off-platform transactions have occurred, it may charge fees and suspend or terminate accounts.

This applies to transactions during or within a reasonable period after platform interaction.

8. Disputes Between Users

Adhron is not a party to any transaction and does not adjudicate disputes. Users are solely responsible for resolving disputes directly.

Adhron may, at its discretion, provide records or facilitate communication. It is not obligated to intervene or enforce outcomes.

9. Trust and Platform Control

Adhron may monitor user behavior and assess reliability.

Based on such assessments, Adhron may rank, promote, restrict, or suspend users at its sole discretion.

Adhron is not obligated to disclose scoring methodologies.

10. Limitation of Liability

To the maximum extent permitted by law, Adhron’s liability shall not exceed the fees paid by the user in the preceding three (3) months.

Adhron is not liable for indirect, incidental, or consequential damages, including loss of profit or business.

Adhron is not responsible for loss, damage, delay, or non-delivery of goods.

The Platform is provided “as is” without guarantees of uninterrupted operation.

Adhron shall not be responsible for delays, non-performance, driver conduct, vehicle availability, or any operational aspects of logistics execution, all of which remain solely the responsibility of the transacting users.

11. Indemnification

You agree to indemnify Adhron against claims arising from your actions, violations, or disputes.

12. Suspension and Termination

Adhron may suspend or terminate access without notice for violations, fraud, or harmful behavior.

13. Modifications

Adhron may update these Terms at any time. Continued use implies acceptance.

14. Governing Law

These Terms are governed by the laws of India. Courts in Lucknow, Uttar Pradesh shall have exclusive jurisdiction.
